These terms are written in plain English. They cover how the Merebase build service works, what you own after a build, how the Launchpad operates, and your rights. If something is unclear, contact us before proceeding.
These terms of service apply to all customers and users of Merebase, operated by MOHO & Cave Pty Ltd (ABN 27 657 476 563) operating as Merebase.
By describing a build, making a payment, or using any part of the Merebase service, you agree to these terms. If you do not agree, do not use the service.

Merebase builds custom business apps for small business. Apps are built on Merebase App Core, a WordPress based production stack, and delivered to you as downloadable files for installation on your own web hosting.
Merebase is not a software as a service business suite. We do not host your app. We do not provide ongoing access to a cloud system. You receive the app files and install them on hosting you control.
Merebase also operates the Launchpad, a catalogue of apps that other businesses can use as the starting point for their own build. The Launchpad model is described in Section 8.
Every Merebase build follows this process:
The build scope confirmed before payment is the binding reference for the build. It defines what will be built, how it will behave, and what is not included. If something is not in the build scope, it is not part of the build.
Two rounds of revision are included in every build. A revision is a correction to something in the delivered build that does not match the agreed build scope. Revisions do not include new features, changed requirements, or anything not specified in the original scope.
Requests that fall outside the agreed scope are treated as new scope and require a new build description and new payment.
You have 7 days from the build preview email to raise revision requests. Revision requests raised after this window may be treated as new scope at our discretion.
If no feedback is received within 14 days of build preview, the build is automatically delivered. This applies regardless of whether revision rounds have been used.
Full payment is required after scope sign off and before the build commences. We do not use a deposit model.
All prices are in Australian dollars (AUD) and are inclusive of GST where applicable.
Payment is accepted via the methods listed at checkout at the time of purchase. Payment confirmation triggers build commencement.
For monthly plans, billing occurs on the same date each month from the date of first payment. Failed payments result in plan suspension. You have 7 days to update payment details before the plan is cancelled.
On build delivery, you receive an email containing a time limited download link and your setup word. The download link expires after a set period. If it expires before you download, contact us and we will reissue it at no charge.
The setup word is included in your delivery email and baked into your build files. When you install the app and run the setup process, you will be asked to enter it before you can create your admin account. It validates locally within the app. There is no ongoing check back to Merebase servers. It is not a licence key. It makes sure only the person with your specific build files can complete the admin setup.
Merebase does not provide hosting. You are responsible for sourcing and managing your own web hosting environment. Any standard hosting that supports WordPress will run your app.
On full payment and delivery, you own your copy of the app outright. There are no ongoing fees required to keep it running. There is no subscription attached to the app itself.
Merebase App Core is released under the GNU General Public License (GPL). Your rights to the underlying codebase are governed by the GPL. Custom code written specifically for your build scope is owned by you.
Standard, Express, and Installed builds are listed on the Launchpad as Originals unless the Private build tier was selected at the time of the build. See Section 8.
The Launchpad is a catalogue of Merebase built apps available for other businesses to use as a starting point for their own build. An app listed on the Launchpad is called an Original. A build created from an Original is called a Variant.
Standard, Express, and Installed builds are listed on the Launchpad automatically as Originals after release. Private builds are never listed. If you do not want your build listed, select the Private tier at the time of your build description.
When another business commissions a Variant from your Original, Merebase builds that Variant. You do not provide the build work, support, or any service to Variant customers. Merebase handles all Variant builds independently.
For every Variant built from your Original, you earn 2 build tasks added to your monthly plan. If you are not on a monthly plan at the time a Variant is built, the earned tasks are held and applied when you join a plan.
A Launchpad listing shows the app name, description, and category. No personal information about the Original owner is displayed publicly. Merebase may update the presentation of Launchpad listings at any time for the purpose of improving the catalogue.
Monthly plans provide a recurring supply of build tasks for use on apps you already own. You must own at least one Merebase built app to join a plan.
Available plans:
While on any active monthly plan, Standard builds are available at A$249 instead of A$499. This discount applies to Standard builds only. All other build types are full price regardless of plan.
Build tasks accumulate while a plan is active and do not expire. If a plan is cancelled, the task balance is frozen and retained. When a plan is reactivated, the full prior balance is restored. Tasks cannot be transferred or redeemed for cash.
If a task balance reaches 5 or more, those tasks may be converted into one new Standard build. The balance is reduced by 5 on confirmation of the build scope. This applies to Standard builds only.
Variant earnings (build tasks earned from other businesses building from your Original on the Launchpad) only accumulate while a plan is active. Variant earnings are not accrued during periods when no plan is active.
Plans may be cancelled at any time. Cancellation takes effect at the end of the current billing period. No refund is issued for the current period. See the Refund Policy for full detail.
You must not:
Violation of these terms may result in suspension of your account and any active plans, with no refund of amounts already paid.
To the maximum extent permitted by law, Merebase's total liability to you for any claim arising from or related to the service is limited to the amount you paid for the specific service giving rise to the claim.
Merebase is not liable for indirect, incidental, special, or consequential loss, including loss of profit, loss of data, or business interruption, even if we have been advised of the possibility of such loss.
Nothing in this section limits any liability that cannot be excluded under the Australian Consumer Law. See Section 12.
Nothing in these terms removes, restricts, or modifies any right or remedy you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)).
Where you are a consumer as defined by the Australian Consumer Law, you have statutory guarantees that apply regardless of these terms. Where a guarantee is not met, your remedies are as set out in the Australian Consumer Law.
Merebase App Core is released under the GNU General Public License (GPL v2 or later). Your rights to that codebase are governed by the GPL.
Custom code written specifically for your agreed scope is owned by you on delivery and full payment.
The Merebase name, logo, and brand assets remain the property of MOHO & Cave Pty Ltd. You may not use them without written permission.
For Standard, Express, and Installed builds, Merebase retains the right to list the app on the Launchpad as an Original, unless the Private tier was selected. Listing does not transfer ownership of your copy to Merebase or to any Variant customer.
If a dispute arises, both parties agree to first attempt resolution through direct communication. Contact us at hello@merebase.com with a description of the issue and your preferred resolution. We will respond within 5 business days.
If direct resolution is not achieved, the dispute is governed by the laws of Queensland, Australia. The courts of Queensland have non exclusive jurisdiction over any dispute arising from these terms or the use of the service.
We may update these terms from time to time. When we do, we will update the effective date at the top of this page. For material changes, we will notify active customers by email at least 14 days before the change takes effect.
Continued use of the service after a change has been notified constitutes acceptance of the updated terms. If you do not accept the updated terms, you may cancel your monthly plan before the change takes effect.
